Lockout Sync for NinjaTrader — Licence Terms

1. About these terms

These Licence Terms apply when you buy Lockout Sync for NinjaTrader from FIBORB LLC (“we”, “us”), an Illinois limited liability company. Our checkout asks you to accept our terms before you pay. For the add-ons, these Licence Terms are those terms.

They sit alongside the Lockout Sync Terms of Use at api.masterlockoutsync.com/terms (the “app Terms”). Sections of the app Terms apply to the add-ons as section 13 below explains. Where these Licence Terms say something different about the add-ons, these Licence Terms apply.

Our Privacy Policy explains what we do with your information.

2. What you get

• Two add-ons for NinjaTrader 8, supplied as one file: Lockout Sync for NinjaTrader and Emergency Flatten ALL (together, “the add-ons”).
• A licence for one NinjaTrader account: the account whose email address you type at checkout.
  • The licence is issued through NinjaTrader's own add-on licensing, as our NinjaTrader vendor product 2439.
  • NinjaTrader checks the licence when the add-ons start. They run only while you are signed in to NinjaTrader with the licensed account.
• Updates. The updates we publish for the add-ons while your licence is active.

The add-ons are licensed to you, not sold. We keep all rights not expressly given to you in these terms.

3. What you may and may not do

You may install the add-ons and use them with the licensed NinjaTrader account, for your own trading.

You may not:

• share, sell, rent or sublicense the add-ons, or let anyone else use your licence;
• copy them, except to install them;
• modify, decompile or reverse engineer them, or try to get round NinjaTrader's licensing, except where the law allows this despite this restriction.

4. Plans and prices

• Monthly: $9.99 a month, starting with a 3-day free trial.
• Lifetime: $299.99, paid once. No trial.

Prices are in US dollars. No sales tax or VAT is added at checkout at present; you are responsible for any tax that applies where you live. Payments are processed by Stripe, which may send you receipts and billing emails on our behalf.

5. The free trial (Monthly only)

• The trial lasts 3 days from checkout. A payment card is required to start it. Nothing is charged during the trial.
• UNLESS YOU CANCEL BEFORE THE TRIAL ENDS, YOUR MONTHLY SUBSCRIPTION BEGINS AUTOMATICALLY WHEN IT ENDS. YOUR CARD IS CHARGED $9.99 THEN, AND $9.99 EVERY MONTH AFTER THAT, UNTIL YOU CANCEL.
• One free trial per NinjaTrader account. If the NinjaTrader account you name has held a licence for the add-ons before, no trial licence is issued. Your subscription still begins with the same 3 days without a charge, but your licence starts only when the $9.99 payment is taken at the end of them. We tell you by email when this applies.
• If you cancel during the trial, nothing is charged, and your licence ends no later than the end of the trial.

6. How long a Monthly licence runs

• Your licence runs to the end of the period you have paid for, or to the end of the trial.
• While your subscription keeps renewing, we date your licence 3 days past the end of each paid period, so that the next payment has time to go through. Those 3 days are a courtesy, not part of a paid period.
• If a payment is not made, your licence ends on that date. If you pay the outstanding amount later, your licence is reopened to the end of the newly paid period, plus the same 3 days.
• If you cancel, your licence ends when your subscription ends, at the end of the period you have paid for.

7. What “Lifetime” means

“Lifetime” means the life of the product, not your lifetime or ours. A Lifetime licence has no end date. It lasts for as long as Lockout Sync for NinjaTrader exists as a product and NinjaTrader's add-on licensing allows it to run. It ends early only as section 8 sets out.

A Lifetime licence covers the add-ons for NinjaTrader 8 only. It does not include other products we may offer. If NinjaTrader withdraws NinjaTrader 8 or its add-on licensing, the add-ons may stop working (section 14).

8. What ends a licence

A licence, Monthly or Lifetime, ends:

• when a Monthly subscription ends (section 6);
• at once, if a payment for it is refunded in full;
• at once, if you dispute a payment for it with your bank or card issuer (a chargeback). If the dispute is later decided in our favour, the licence is not reopened automatically. Contact support and we will consider reopening it;
• if you break these terms.

A partial refund does not end a licence. If the same NinjaTrader account also holds another purchase that is paid up, the licence continues for as long as that purchase covers it.

When a licence ends, NinjaTrader no longer lets the add-ons start for that account.

9. How to cancel a Monthly subscription

Open Manage or cancel your plan and follow the steps there (it takes you to our payment processor's customer portal when it is available), or email support@masterlockoutsync.com from the email address you paid with, include your NinjaTrader account email, and ask us to cancel.

• We cancel your subscription at the end of the current period (or, during the trial, at the end of the trial) and confirm by email.
• A request we receive before the trial or the current period ends counts as a cancellation before it ends, even if we reply later.

Cancelling stops future payments. It does not refund payments already made (section 10). Your licence runs to the end of the period you have paid for.

10. Refunds

Except where the law requires otherwise, payments are non-refundable. This includes part-months, unused time and periods in which you did not use the add-ons. We may still refund a payment at our discretion. A full refund ends the licence it paid for (section 8).

Nothing in these terms affects rights you have under the consumer laws of the place where you live that cannot be excluded by agreement.

11. Your NinjaTrader account email

• The licence is created for exactly the address you type at checkout. We do not check that it belongs to you.
• Type the email of the NinjaTrader account you sign in to NinjaTrader with. It can differ from the email you pay with.
• If you mistyped it, email support@masterlockoutsync.com from the address you paid with and give us the correct NinjaTrader account email. We will move your licence to the correct account once, and end the licence on the address typed by mistake. Further moves are at our discretion.
• We are not responsible for a licence that reached a different NinjaTrader account because of the address typed at checkout, or for your access to your NinjaTrader account.

12. Delivery and requirements

• When your licence is active, we email you a link to download the add-ons. The file contains both add-ons.
• They need NinjaTrader Desktop 8.1.8.2 or later and a NinjaTrader account that holds the licence.
• When the add-ons start, they ask our server whether a newer version exists. That request carries only the product name and version.

13. No guarantee; not advice; your trading

The add-ons are monitoring and order-management tools. Sections 1 to 11 of the app Terms apply to the add-ons as if “the Software” in those sections included them. Those sections cover:

• no financial advice;
• the risk of trading;
• no warranty;
• no guarantee of execution;
• your responsibility for third-party rules;
• your device and connection;
• assumption of risk;
• limitation of liability;
• indemnity;
• eligibility.

In particular:

• The add-ons act only while NinjaTrader is running and connected. They can fail to close a position or to lock out an account, or act late: for example because of a lost connection, NinjaTrader or broker behaviour, a computer that sleeps or freezes, or a defect in the add-ons. THERE IS NO GUARANTEE THAT ANY POSITION WILL BE CLOSED, ANY ORDER CANCELLED OR ANY ACCOUNT LOCKED OUT.
• Not advice. Nothing in the add-ons is financial, investment or trading advice.
• Trading losses. Trading futures and other leveraged instruments carries a substantial risk of loss, and you can lose more than you deposit. You are responsible for your trading decisions and their results.
• Broker-side orders. Keep stop orders resting at your broker, and any limits your broker or prop firm offers. The add-ons are not a substitute for them.
• Emergency Flatten ALL supports Tradovate accounts only and is provided as-is.
• Platform rules. Check that your broker, your prop firm and NinjaTrader permit your use of third-party add-ons. You are responsible for following their rules.

14. Our relationship with NinjaTrader

• We are not NinjaTrader, and NinjaTrader does not endorse the add-ons. NinjaTrader is operated by NinjaTrader, LLC.
• NinjaTrader provides the licensing that lets the add-ons run for your account. Questions about your purchase, your licence or the add-ons come to us.
• If NinjaTrader changes or withdraws its platform or its add-on licensing, the add-ons may stop working.
• NinjaTrader and Tradovate are trademarks of their respective owners.

15. Changes to these terms and to prices

We may change these terms or the Monthly price.

• We will tell you by email, at the address you paid with, before a change affects you.
• A price change applies from your next renewal after that notice, and you can cancel before it applies.
• A change to the Lifetime price does not affect a Lifetime licence already bought.

16. Governing law

These Licence Terms are governed by the laws of the State of Illinois, and any dispute is brought in the state or federal courts located in Cook County, Illinois, as section 15 of the app Terms sets out. If you live outside the United States, this does not take away any right that the law of the place where you live gives you and that cannot be excluded by agreement.
